Welcome to Charlie's! The terms "we", "us" and "our" refer to Charlie's Natural B.V. Charlie's Natural B.V. operates this store and website, including all related information, content, features, tools, products and services (the "Services"). Charlie's is powered by Shopify, which enables us to provide the Services to you.

The below terms and conditions, together with any policies referenced herein (these "Terms of Service" or "Terms") describe your rights and responsibilities when you use the Services.

Please read these Terms of Service carefully, as they include important information about your legal rights and cover areas such as warranty disclaimers and limitations of liability.

By visiting, interacting with or using our Services, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree, you should not use or access our Services.

SECTION 1 - ACCESS AND ACCOUNT

This store serves both consumers and business customers. Business customers may apply for a business account to access trade pricing, which is subject to approval and verification by Charlie's Natural B.V. Consumers may purchase at standard retail prices without an account.

To use the Services, you may be asked to provide information such as your name, company name where applicable, BTW number where applicable, email address, billing and shipping information. You represent and warrant that all information you provide is correct, current and complete.

You are solely responsible for maintaining the security of your account credentials and for all activity on your account. You may not transfer, sell, assign, or license your account to any other person.

SECTION 2 - OUR PRODUCTS

We have made every effort to provide an accurate representation of our products. All product descriptions are subject to change at any time without notice at our sole discretion. We reserve the right to discontinue any product at any time and may limit quantities available to any person, geographic region or jurisdiction.

Minimum order quantities may apply to certain customers or product types and will be communicated clearly at checkout.

SECTION 3 - ORDERS

When you place an order, you are making an offer to purchase. Charlie's Natural B.V. reserves the right to accept or decline your order for any reason at its discretion. Your order is not accepted until Charlie's Natural B.V. confirms acceptance.

All orders require prepayment. Orders are only processed after full payment has been received. Please review your order carefully before submitting.

For business customers, purchases are made in the course of a business and the statutory right of withdrawal does not apply. For consumers, please refer to our Return and Refund Policy regarding the right of withdrawal and the statutory exceptions that apply to our products.

Your purchases are subject to our Return and Refund Policy.

SECTION 4 - PRICES AND BILLING

All prices are shown in Euros. Retail prices displayed to consumers include VAT. Prices displayed to logged-in business customers may be shown excluding VAT, with VAT added at checkout at the applicable Dutch rate. A statiegeld (deposit) is charged per applicable product as required by law and shown separately at checkout.

Prices, discounts and promotions are subject to change without notice. The price charged will be the price in effect at the time the order is placed and will be set out in your order confirmation.

You agree to provide current, complete and accurate payment and account information for all purchases.

SECTION 5 - SHIPPING AND DELIVERY

All delivery times are estimates only and are not guaranteed. We are not responsible for delays caused by shipping carriers or events outside our control. Risk of loss passes to you upon delivery. For consumers, risk passes upon delivery to you or a carrier designated by you, in accordance with Dutch law.

SECTION 6 - INTELLECTUAL PROPERTY

Our Services, including all trademarks, brands, text, displays, images, graphics, video and audio, are owned by Charlie's Natural B.V., its affiliates or licensors and are protected by applicable intellectual property laws.

You must not reproduce, distribute, modify, create derivative works of, publicly display, republish, download, store or transmit any material from the Services without our prior written consent. All rights not expressly granted herein are reserved by Charlie's Natural B.V.

SECTION 7 - THIRD-PARTY LINKS

The Services may contain links to websites operated by third parties. We are not responsible for the content or accuracy of any third-party websites. If you choose to access third-party sites, you do so at your own risk.

SECTION 8 - RELATIONSHIP WITH SHOPIFY

Charlie's Natural B.V. is powered by Shopify, which enables us to provide the Services to you. Any sales and purchases you make in our store are made directly with Charlie's Natural B.V. By using the Services, you acknowledge and agree that Shopify is not responsible for any aspect of any sales between you and Charlie's Natural B.V. You hereby expressly release Shopify and its affiliates from all claims, damages and liabilities arising from or related to your purchases and transactions with Charlie's Natural B.V.

SECTION 9 - PRIVACY POLICY

All personal information we collect through the Services is subject to our Privacy Policy. By using the Services, you acknowledge that you have read our Privacy Policy.

SECTION 10 - TERMINATION

We may terminate this agreement or your access to the Services at any time without notice where reasonably justified, and you will remain liable for all amounts due up to and including the date of termination. This does not affect any statutory rights you may have as a consumer.

EXCEPT AS REQUIRED BY APPLICABLE LAW, THE SERVICES AND ALL PRODUCTS OFFERED THROUGH THE SERVICES ARE PROVIDED 'AS IS' AND 'AS AVAILABLE' WITHOUT ANY REPRESENTATION, WARRANTIES OR CONDITIONS OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT GUARANTEE THAT YOUR USE OF THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE OR ERROR-FREE. NOTHING IN THESE TERMS EXCLUDES OR LIMITS THE STATUTORY RIGHTS OF CONSUMERS THAT CANNOT BE EXCLUDED UNDER DUTCH LAW.

SECTION 12 - LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PROVIDED BY LAW, CHARLIE'S NATURAL B.V., OUR PARTNERS, DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, CONTRACTORS AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, PUNITIVE, SPECIAL OR CONSEQUENTIAL DAMAGES OF ANY KIND ARISING FROM YOUR USE OF THE SERVICES OR ANY PRODUCTS PROCURED THROUGH THE SERVICES. NOTHING IN THESE TERMS LIMITS OUR LIABILITY FOR DEATH OR PERSONAL INJURY CAUSED BY NEGLIGENCE, FOR FRAUD, OR FOR ANY LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER DUTCH LAW, INCLUDING STATUTORY CONSUMER RIGHTS.

SECTION 13 - GOVERNING LAW

These Terms of Service are governed by Dutch law. Any disputes will be submitted to the competent court in Amsterdam, the Netherlands. If you are a consumer, this choice of court does not deprive you of the protection of mandatory provisions of the law of your country of residence, and you may also be entitled to bring proceedings in the courts of your place of residence.

SECTION 14 - CHANGES TO TERMS OF SERVICE

We reserve the right to update or change these Terms of Service at any time. Material changes will be communicated to you and will be effective on the date specified in the notice. Your continued use of the Services following any changes constitutes acceptance of those changes.

SECTION 15 - COMPLAINTS AND DISPUTE RESOLUTION

If you have a complaint, please contact us at delivery@drinkcharlies.com and we will aim to respond within 14 days. Consumers in the EU may also submit disputes via the European Commission's Online Dispute Resolution platform at ec.europa.eu/consumers/odr.
